(a) engaging in any unlawful activity;
(b) soliciting others to engage in unlawful acts;

Disclaimer of Warranties; Limitation of Liability

We do not guarantee, represent, or warrant that your use of our service will be uninterrupted, timely, secure, or error-free. We also do not warrant that any results obtained from using the service will be accurate or reliable.

You agree that we may, from time to time, remove the service for indefinite periods or cancel the service at any time, without prior notice.

Your use of the service—and any products or services delivered through it—is at your sole risk. Unless otherwise stated, everything is provided “as is” and “as available” without any warranties or conditions of any kind, either express or implied. This includes, but is not limited to, implied warranties of merchantability, fitness for a particular purpose, durability, title, and non-infringement.

Amara and our affiliates, directors, officers, employees, agents, contractors, suppliers, service providers, and licensors shall not be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind. This includes, but is not limited to, loss of profits, revenue, savings, data, replacement costs, or similar damages—whether based on contract, tort (including negligence), strict liability, or otherwise—arising from your use of the service or any product obtained through the service. This also applies to any content errors or omissions, or any damage resulting from using the service or any content or product posted, transmitted, or made available through it.

Because some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, our liability in those regions shall be limited to the fullest extent permitted by law.

Indemnification

You agree to indemnify, defend, and hold harmless Vitali Partners, along with our parent company, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns, and employees, from any claim or demand (including reasonable attorneys’ fees) made by any third party arising from:

  • Your breach of these Terms and Conditions or any documents they reference

  • Your violation of any law

  • Your infringement of a third party’s rights

This protection covers any liabilities or damages resulting from your use of our services or your actions on our platform.

Severability

If any part of these Terms and Conditions is found to be unlawful, void, or unenforceable, that specific provision will still be enforced to the maximum extent allowed by law. The unenforceable portion will be considered removed from the Terms, but this will not affect the validity or enforceability of the remaining provisions.

Termination

Any obligations and liabilities of the parties that were incurred before the termination date will continue to apply even after this agreement ends.

These Terms and Conditions will remain in effect unless terminated by either you or us. You may end this agreement at any time by notifying us that you no longer wish to use our Services or by simply discontinuing use of the site.

We reserve the right to terminate this agreement at any time without notice if, in our sole judgment, you fail or we suspect that you have failed to comply with any part of these Terms. In such cases, you will still be responsible for any outstanding payments up to the date of termination, and we may restrict your access to our Services.

Entire Agreement

Our failure to exercise or enforce any right or provision of these Terms and Conditions shall not be considered a waiver of such right or provision.

These Terms and Conditions, along with any policies or operating rules posted by us on this site or related to the Service, constitute the entire agreement and understanding between you and us. They govern your use of the Service and supersede all prior or contemporaneous communications, proposals, and agreements—whether oral or written—between you and us (including any previous versions of the Terms and Conditions).

Any ambiguities in the interpretation of these Terms and Conditions shall not be interpreted against the party that drafted them.

Governing Law

These Terms and Conditions, and any separate agreements whereby we provide you Services, shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of law provisions. Jurisdiction shall be based in 6500 Papermill Dr, Ste 214, Knoxville, TN 37919.
